Quality Control Policy

The Noritsu Koki Group is committed to complying with applicable laws and regulations related to product quality. To this end, we have established a Quality Control Policy to provide safe products and services that deliver customer satisfaction.

Procurement Policy

The Noritsu Koki Group has established a Procurement Policy to enhance its supply chain framework that is both environmentally and socially responsible. The Group will contribute to achieve sustainable society through procurement activities in line with this policy.

Complying with Applicable Laws and Regulations

We comply with the applicable laws and regulations of each country and region in which we conduct our business. We strive to ensure just and fair procurement, respecting international standards such as the Ten Principles of the UN Global Compact and ISO 26000.

Valuing the safety and quality of products above all, we select our suppliers by also considering various criteria, including price, lead time and technological capability.

Human Rights Policy

The Noritsu Koki Group believes that respect for human rights is the principle that underlies all its business operations. We have thus established a Human Rights Policy that promotes respect for human rights throughout the Group and guides us in all our activities.

Basic Concept

We recognize that our business activities could affect people's human rights, and we take responsibility to respect the human rights of all people related to our business.

The Noritsu Koki Group complies with all laws and regulations related to human rights in the countries and regions where it operates, and as a global corporate group, supports international human rights standards, including the International Bill of Human Rights (which, in addition to the Universal Declaration of Human Rights, consists of the International Covenant on Civil and Political Rights and the International Covenant on Economic, Social and Cultural Rights), the ILO Declaration on Fundamental Principles and Rights at Work and its Follow-up, the UN Guiding Principles on Business and Human Rights, and the Children's Rights and Business Principles. The Group hereby formulates this Human Rights Policy. In cases where these international standards on human rights do not align with the laws and regulations of each country or region, we will seek ways to ensure international human rights are respected.

Scope

This policy applies to all Noritsu Koki Group board members and employees. In addition, we work to ensure suppliers and other business partners comply with this policy and do not violate human rights.

Material Human Rights Issues

We recognize the following areas as material human rights issues related to our business. We are committed to fulfilling our responsibility to respect human rights in these areas.

  1. 1) Prohibiting discrimination: We will not tolerate any discrimination or acts that undermine individual dignity based on nationality, race, ethnicity, religion, beliefs, gender, age, disability, gender identity, sexual orientation, employment status, and other characteristics protected by the laws and regulations of each country or region.
  2. 2) Prohibiting harassment: We will not tolerate harassment of any kind, whether mental or physical, or any behavior that is harmful to others.
  3. 3) Prohibiting forced labor and child labor: We will not engage in forced labor or child labor. We do not tolerate any form of modern slavery, including human trafficking.
  4. 4) Respecting freedom of association and collective bargaining: We will respect freedom of association and the right to collective bargaining in accordance with the laws and regulations in countries and regions where we operate. Where the rights to freedom of association and collective bargaining are restricted by national or regional laws that do not meet international human rights standards, we will seek ways to respect these rights by establishing alternative means of dialogue with employees.
  5. 5) Ensuring occupational health and safety: We will confirm and apply laws and regulations related to workplace health and safety, and create safe and healthy work environments.
  6. 6) Managing working hours and wages: We will comply with all applicable laws and regulations regarding working hours and wages in countries and regions where we operate. We will appropriately manage employee working hours, holidays and leave, and prohibit excessive overtime work. We will work to set wages that enable employees to meet their basic needs of living.
  7. 7) Ethical use of technology: In the use and application of AI and other new technologies, we will work to avoid human rights violations, including invasion of privacy and discrimination.

Education and Training

We will ensure this policy is duly acknowledged and implemented in all our business activities by providing our board members and employees with all necessary education and training. We will also encourage suppliers and other business partners to understand and implement this policy.

Human Rights Due Diligence

To fulfill our responsibility to respect human rights, we will develop and continuously implement a framework of human rights due diligence to avoid causing or contributing to negative human rights impacts in our value chain.

Grievance Mechanisms

Where we identify that we have caused or contributed to adverse impacts on human rights, we will engage in remedial actions through appropriate means.

Engaging with Stakeholders

We will draw on expert professional advice regarding measures against potential risks or adverse impacts on human rights. We will also engage with both internal and external stakeholders in human rights due diligence processes.

Disclosure

We will publish the progress and results of our measures to respect human rights in line with this policy, on our website and through other communication channels.

Information Security Policy

The Noritsu Koki Group thoroughly understands the importance of appropriately safeguarding all information assets we handle. As a result, the Group has developed an Information Security Policy.
We ensure that all our board members and employees comply with this policy. We are committed to continually reviewing and updating our information security framework with the implementation, management and effective auditing of this policy.

Complying with Applicable Laws and Regulations

We comply with the Act on the Protection of Personal Information, the Unfair Competition Prevention Act, the Act on the Prohibition of Unauthorised Computer Access, and any other applicable laws, regulations and standards relating to information security.

We take appropriate measures to securely manage our information assets and protect them from threats to confidentiality, integrity and availability.

Education and Training

We provide our board members and employees with continual education and training to enhance their recognition of information security issues and risks.

Responding to Security Incidents

If any security incidents occur with our information assets, we promptly take appropriate steps and remedial action including a recurrence prevention measure.

Anti-Corruption and Anti-Bribery Policy

The Noritsu Koki Group has enacted this Anti-Corruption and Anti-Bribery Policy (the “Policy”) based on its corporate philosophy for the purpose of preventing acts of corruption and bribery as an entire group, and to establish fair and healthy relationships with all stakeholders.

Basic Policy

The Noritsu Koki Group fully understands and complies with all laws and regulations as well as guidelines, etc., relating to anti-corruption and anti-bribery that are applicable in all countries and areas where we engage in business, and will not allow involvement in any form of corruption or bribery. Anti-corruption under this Policy means all acts that abuse authorized power to gain inappropriate merit including, but not limited to, excessive entertainment or gifts that are not consistent with the laws and regulations or socially recognized standards, other bribery acts such as providing or receiving benefits (including facility payments), misappropriation of funds such as inappropriate rebates and kickbacks, anti-competitive acts with unfair means, obstruction of justice, donating money to a politician as an individual, donating money to a political entity or political party that is not permitted by law, extortion, fraud and money laundering.

Applicable Persons

This Policy is applicable to all officers and employees of the Noritsu Koki Group. We also request compliance with this Policy by all business partners who are involved in our business such as suppliers, and make every effort to prevent being indirectly involved in acts of corruption or bribery.

Education

The Noritsu Koki Group will, in addition to this Policy, enact the “Basic Compliance Policy”, ”Code of Conduct”, “Rules of Employment” and “Rules of Whistle-Blowing System” and so on that will always be available to the entire group in internal notices or on the website, etc. Also, for the purpose of ensuring proper ethics and appropriate actions of our officers and employees as well as business partners who are involved in our business such as suppliers, the Noritsu Koki Group will make every effort to have them understand and comply with this Policy.

Whistleblowing System

The Noritsu Koki Group has established a compliance department and internal reporting system so that any act that does not comply with laws and regulations relating to anti-corruption and anti-bribery as well as this Policy or doubt thereof will be reported in a timely manner to or consulted by the relevant department. If any matter that does not comply with this Policy becomes known to us, the Noritsu Koki Group will investigate the relevant matter in a timely manner and take appropriate measures. The Noritsu Koki Group will make every effort to prevent a situation where any person who makes a report about a wrongful act or cooperates with our investigation is subject to unfair treatment or retaliation.

Action and Penalty

In case any of our officers or employees breaches laws or regulations relating to anti-corruption and anti-bribery or this Policy, the Noritsu Koki Group will take strict and timely action pursuant to internal policies, Rules of Employment and so on. The Noritsu Koki Group will terminate any relationship with business partners who are involved in our business such as suppliers in case such business partner commits any act of corruption or bribery.

Continuous Improvement

The Noritsu Koki Group regularly confirms actions taken or situations of compliance on anti-corruption and anti-bribery through internal audit or other monitoring means, and continuously reviews and improves this Policy and related internal policies as well as internal systems to prevent acts of corruption and bribery.

Retention of Records

The Noritsu Koki Group shall follow proper accounting procedures to process and record all transactions, expense payments and disposition of assets in accordance with internal rules and procedures, and shall retain relevant records in a proper manner.

Responsible Mineral Sourcing Policy

In conflict zones and other areas worldwide where there is a high risk of human rights violations, armed groups and anti-government forces use profits from the mining and trading of minerals to fund their activities, which in turn fuels conflict, human rights violations and environmental destruction. The Noritsu Koki Group recognizes that this is a serious social issue. The Group's basic policy is to avoid procuring these conflict minerals or minerals that are known/suspected to be associated with human rights violations, etc. Based on this policy, we are working to ensure sustainable and responsible sourcing of minerals across our supply chains.
As such, in line with Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas, published by the Organization for Economic Cooperation and Development (OECD), we will confirm and assess the supply chains of all the Group’s products for conflict mineral risks. Any issues that are identified will be promptly addressed. We will also appropriately disclose information regarding these efforts.
